What is happening?

Northern Neck Insurance Company and Frederick Mutual Insurance Company have agreed to affiliate, pending regulatory approval. The affiliation unites two respected mutual insurers with deep roots, complementary products, and well-aligned distribution territories. As part of the agreement, Northern Neck Insurance Company will enter into a management agreement with Frederick Mutual Insurance Company, with Peter Cammarata as President and CEO of both organizations, and Northern Neck’s Board of Directors providing unified governance. Importantly, we are approaching this as an affiliation of two companies with complementary strengths and legacies.

This strategic partnership unites Northern Neck’s personal lines strength with Frederick Mutual’s commercial lines expertise, creating a dynamic mutual insurer with a bold vision for growth.

What are the benefits of this affiliation?

This affiliation leverages the complementary strengths of both organizations. Northern Neck offers a broad range of personal lines coverages—including homeowners, auto, renters, dwelling, umbrella, and rural estate—through a robust independent agency network in Virginia. Frederick Mutual offers a comprehensive businessowners program, aka The Frederick Mutual Secure(R) businessowners program, available to 200+ classes of eligible small businessowners in the

contracting, services, retail, wholesale and real estate (habitational included) industries, across Maryland, Virginia, Delaware, Pennsylvania, the District of Columbia, and North Carolina. This affiliation creates a strategic alignment that positions the combined companies to expand profitably across both Personal Lines (PL) and Commercial Lines (CL), while enhancing geographic reach, distribution capabilities, service quality, and financial performance. For agents and

consumers, this affiliation expands access to local, personalized insurance solutions for households and small businesses across the Mid-Atlantic region.

Will the leadership team change?

Leadership continuity will guide the transition. Cammarata and Newmister will remain CEOs of their respective organizations until the transaction is finalized, and both will be actively involved in the integration process to align operations and ensure a smooth transition. Northern Neck’s Board of Directors will provide unified governance. The management teams of both organizations will remain in place during the integration process. This structure will allow us to preserve the identities, strengths, and values of both companies, as we improve efficiency and pursue growth.

Why is this affiliation taking place?

The mid-Atlantic region presents favorable growth opportunities for P&C insurers, especially in the market segments served by Northern Neck and Frederick Mutual. Together, the combined

companies are well positioned to expand market share due to their competitive product offerings and a mutual model which aligns with the growing demand for trust, transparency, and long-term value among consumers and small business owners. The companies’ deep local roots, personalized approach, and commitment to reinvest earnings to benefit policyholders make the combined mutual company an attractive alternative to national carriers.

What is the timeline for the integration?

The integration has already begun and will continue in phases over the next 12 months. We will provide regular updates as milestones are reached.

How will regulatory approvals be handled?

The acquisition is subject to regulatory review and approval. We are working closely with regulators to ensure a smooth and compliant process.

The companies will continue to operate under existing brands.
